1. 🏢 About Sanwariya Capital

Sanwariya Capital Pvt. Ltd. ("Company", "We", "Us", "Our") is a SEBI Registered Research Analyst (Registration No. INH000XXXXXX) registered under SEBI (Research Analyst) Regulations, 2014. We provide research-based stock market advisory services through subscription plans.

Our services are delivered via SMS and WhatsApp to registered clients. All recommendations are for informational purposes only and do not constitute guaranteed profit or financial advice.

2. ✅ Eligibility & Acceptance

• You must be 18 years or older to subscribe to our services. Minors are strictly NOT eligible.
• Senior citizens above 60 years of age are advised not to subscribe to our services.
• By completing eKYC, making payment and signing the service agreement, you confirm acceptance of these Terms.
• You must have a valid Demat and trading account with a SEBI registered broker to execute our recommendations.
• You confirm that you understand the risks associated with investment in securities markets.

3. 📋 Our Services

Sanwariya Capital provides the following research and advisory services:

• Stock Cash Recommendations (Intraday and Positional)
• Stock Futures and Index Futures recommendations
• Stock Options and Index Options (Nifty/Bank Nifty) recommendations
• STBT/BTST (Sell Today Buy Tomorrow / Buy Today Sell Tomorrow) strategies
• Commodity research calls (MCX Gold, Silver, Crude Oil, Agri)
• Combo subscription packs combining multiple services
• Pre-market analysis and daily market updates

All services are delivered via SMS and WhatsApp on your registered mobile number.

4. 💳 Payment & Subscription Terms

• All subscription fees are payable in advance before service activation.
• Prices are exclusive of 18% GST. Total payable amount includes GST.
• Payments must be made only to the official Sanwariya Capital company accounts listed on our Payment page.
• The Company is not responsible for payments made to any unauthorized personal accounts.
• GST invoice will be issued for all valid payments within 7 working days.
• Subscription plans are available for Weekly, Monthly and Quarterly durations.
• Service activation is subject to completion of eKYC and signing of service agreement.

5. ⚠️ Risk Disclosure

By subscribing to our services, you expressly acknowledge and agree to the following:

• Investment in securities, derivatives and commodities involves substantial risk of loss of capital.
• Sanwariya Capital does NOT guarantee any specific profit, return or outcome from our research recommendations.
• Past performance of our recommendations does not guarantee future performance.
• Trading in F&O (Futures & Options) involves higher risk and may not be suitable for all investors.
• You should invest only the capital you can afford to lose without affecting your financial wellbeing.
• Always use the stop-loss levels provided with every recommendation to protect your capital.
• Market conditions can change rapidly and stop-loss levels may not always be executed at the specified price (slippage).

6. 🚫 Prohibited Activities

You agree NOT to engage in any of the following activities:

• Share, redistribute, sell or republish our research calls or reports to any third party without written consent.
• Use our research content for any commercial purpose other than your own personal trading.
• Misrepresent our research recommendations to other persons or on social media platforms.
• Attempt to hack, interfere with or disrupt our communication systems or website.
• Provide false information during eKYC or subscription registration.
• Share your subscription login credentials or research calls with non-subscribers.

7. 🔒 Confidentiality

All research reports, trading calls, market analysis and any other content provided by Sanwariya Capital are confidential and proprietary. Subscribers agree to maintain strict confidentiality and not share this information with any third party. Violation of confidentiality may result in immediate termination of subscription without refund and may attract legal action.

8. 📵 Termination of Services

Sanwariya Capital reserves the right to terminate or suspend any subscription with immediate effect if:

• The client provides false information during registration or KYC.
• The client breaches any of these Terms and Conditions.
• The client engages in fraudulent, abusive or illegal activities.
• The client shares our proprietary research content with non-subscribers.
• Payment is found to be fraudulent or charged back.

In case of termination for cause, no refund will be provided for the remaining subscription period.

9. ⚖️ Limitation of Liability

To the maximum extent permitted by applicable law, Sanwariya Capital, its directors, employees, and affiliates shall not be liable for:

• Any direct, indirect, incidental or consequential losses arising from trading based on our recommendations.
• Technical failures, delays in SMS/WhatsApp delivery or communication disruptions beyond our control.
• Losses arising from market volatility, circuit breakers, trading halts or liquidity issues.
• Actions or decisions taken by the client independent of or in deviation from our recommendations.

10. 📝 Amendments

Sanwariya Capital reserves the right to modify these Terms and Conditions at any time. Updated terms will be posted on this page with a revised effective date. Continued use of our services after any modification constitutes acceptance of the new terms. Clients are encouraged to review these terms periodically.

Governing Law: These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Bhopal, Madhya Pradesh.
